About Nicholas

Nicholas Neuberger is a corporate lawyer with a particular focus on international transactional matters within the energy sector. He has advised on a wide range of cross-border acquisitions in both the public and private sectors, having worked on deals and projects in more than 40 jurisdictions. He has particular experience in the structuring and development of energy projects, including in relation to shareholder and investment arrangements.

His recent engagements include work on the acquisition of one of the largest battery storage plants in development in the UK, the development of a European LNG terminal, as well as advising on the acquisition and joint venture arrangements relating to the world’s largest offshore wind farm under construction at Dogger Bank.

Carbo Culture — agreement to sell to NextGen a share of a total of 200,000 tonnes of permanent carbon dioxide removals for delivery from 2025

Fotowatio Renewable Ventures — limited recourse project financing of the 34 MW Contego and 99 MW Clay Tye battery energy storage projects in the United Kingdom

Eni S.p.A. — contribution of its 20 percent interest in the Dogger Bank offshore wind farm and other offshore wind assets to Vårgrønn, its joint venture with HitecVision, and related shareholder arrangements

Aqua Ventures International — on its investment in Rainforest Builder, a West African forestry business,  and the related carbon credits sales arrangements

Fotowatio Renewable Ventures — acquisition of a majority interest in a platform with Wootis SA to develop, construct and operate a portfolio of up to 600 MW of battery energy storage system projects across Greece

German LNG Terminal GmbH — development and operation of the first large-scale LNG import terminal in Germany, to be located near Hamburg

Natixis — advising Fotowatio Renewable Ventures on the project financing and development of UK battery storage assets with a combined capacity of 133 MW

Eni S.p.A. — sale to Apex of interests in six onshore concessions held in Western Desert, Egypt

Cero Generation — development of co-located battery storage and solar assets in the UK with a capacity of 100 MW

Aqua Ventures International — on its investment into Koko Networks, a clean air and clean heat technology company

Hellenic Republic Asset Development Fund — privatisation of the Hellenic Republic’s shares of Hellenic Petroleum SA, Greece’s largest energy group

Fotowatio Renewable Ventures — establishment of a platform with Tyler Hill Partners to develop, construct and operate a portfolio of up to 1 GW of battery energy storage system projects across the United Kingdom

Island Green Power — acquisition of the 7 MW Outwood Solar Farm, Billericay, UK

Harbour Energy Plc — sale to Navitas of interests in the Sea Lion Project (Falkland Islands) and related project financing

Delfin LNG — development of the Delfin floating LNG project in the Gulf of Mexico

Anglo Pacific Group Plc — $50.25 million acquisition of a net smelter royalty from Mantos Copper in respect of its copper mine in Chile

Fotowatio Renewable Ventures — development of a 34 MW/ 68 MWh utility scale battery storage project, to be constructed and operated by Tesla in the United Kingdom

SPE Guinea Bissau AB (a wholly owned subsidiary of Svenska Petroleum Exploration AB) — agreement to sell participating interests in the Sinapa and Esperança oil and gas licences, offshore Guinea Bissau, to CNOOC

Impact Oil & Gas Ltd — financing arrangements for the acquisition of an interest by Main Street 1549 Proprietary Limited (a Black Economic Empowerment company) in the Exploration Right for Block 11B/12B (offshore South Africa) and the first exploration well to be drilled on the block, and the associated $35 million equity placing, as lender

Ophir Energy plc — $2 billion floating LNG project offshore Equatorial Guinea, including host government arrangements, LNG sales agreements, chartering agreements, joint venture arrangements, project financing, and construction

Apache Corporation — disposal of its operated interest in the SAGE System, a major gas pipeline system and gas processing terminal in the UK, to Ancala Partners, and on Apache's associated long-term gas transportation and processing agreement, and various other North Sea business matters

Sterling Resources (UK) Ltd — financial restructuring of the group, by way of a rights offering in the Canadian listed parent company followed by a debt-for-equity swap in order to pay down existing Norwegian bond debt and putting in place a new super senior revolving credit facility and intercreditor

Genel Energy plc — business in Kurdistan and elsewhere, including on the development and commercialization of its Miran and Bina Bawi gas discoveries for export to Turkey, the acquisition of OMV’s interest in the Bina Bawi Block, the farm-down of the Chia Surkh block, crude transportation and marketing arrangements

BG Group — acquisition of a 78 percent interest and new country entry into blocks IV and VI, Mongolia

Mercuria Energy Group — investment in Andes Energia PLC (now merged into Phoenix Global Resources), an AIM listed company with assets in the Vaca Muerta formation, and a related convertible loan

Fairfield Energy — $150 million investment by private equity firm Riverstone Holdings LLC through a subscription for shares
